Terms of sale

Ameratec Limited, Hong Kong 1. Scope These terms apply to every quotation, order and sale made through the Ameratec customer portal, and to orders placed with Ameratec by email or phone. The sales order confirmation issued by Ameratec, together with these terms, is the whole agreement for that order. A customer's own purchasing terms apply only where Ameratec has accepted them in writing. 2. Quotations A quotation issued through the portal is valid for 30 days from its date unless it states otherwise. Prices are those of the customer's price tier on the day the quotation is issued, in the currency of the customer's account. A quotation is an offer to sell at the stated prices. It does not reserve stock. 3. Orders and confirmation An order placed in the portal is a request to buy. It becomes binding when Ameratec issues a sales order confirmation. Before confirming, Ameratec checks stock, lead times and freight. If the confirmed total differs from the total shown when the order was placed, for example because freight was added, a price changed or an item was substituted, Ameratec contacts the customer by phone before confirming, and the confirmation records who agreed the change and when. 4. Prices and taxes Prices are in the currency stated on the quotation or sales order. Prices exclude freight, insurance, import duties and any taxes or charges levied outside Hong Kong. These are for the customer's account unless the sales order states otherwise. 5. Payment Payment terms are those recorded on the customer's account with Ameratec and printed on the sales order and the invoice. Where the account is on prepayment terms, goods ship after payment is received. Ameratec may hold shipments and further orders while any invoice is overdue. Payment is made to the bank account printed on the invoice. Ameratec does not change its bank details by email. Confirm any apparent change by phone with Ameratec before paying. 6. Lead times and delivery Lead times shown in the portal are estimates based on the manufacturer's current build schedule and the shipping method chosen. They are given in good faith and are not guaranteed dates. Goods built to order ship when the manufacturer completes them. Ameratec states the expected ship date on the sales order confirmation and informs the customer of any change as soon as it is known. A delay does not by itself entitle the customer to cancel a confirmed order or to claim damages, unless agreed in writing for that order. 7. Shipping, title and risk Goods are sold ex works Ameratec's Hong Kong warehouse unless the sales order confirmation states other terms. Freight arranged by Ameratec is charged as shown on the confirmation. Risk passes to the customer when the goods are handed to the carrier, or to the customer on collection. Title passes when the invoice for the goods is paid in full. 8. Inspection and shortages The customer inspects goods on receipt and reports any shortage, transit damage or wrong item to sales@ameratec.net within 7 days of delivery, quoting the packing slip number and attaching photographs where relevant. Ameratec replaces or credits confirmed shortages, and transit damage on shipments Ameratec arranged. 9. Returns Goods are accepted back only with Ameratec's written return authorization. Items built to order, cut to size, keyed or configured to the customer's specification, special order items, and items no longer in their original unopened packaging are not returnable. Authorized returns are shipped at the customer's cost and credited after inspection, less any restocking charge stated in the return authorization. 10. Warranty and liability Products carry the warranty published by their manufacturer. Ameratec passes that warranty on to the customer and handles the claim with the manufacturer on the customer's behalf. The warranty does not cover damage caused by incorrect installation, misuse, modification, or use outside the manufacturer's specifications. Ameratec gives no other warranty. Ameratec is not liable for indirect or consequential loss, including loss of profit or delay to a project. Ameratec's total liability for any order does not exceed the price paid for the goods concerned. 11. Cancellation A confirmed order for stock items may be canceled before it ships. An order for items built to order or special order items cannot be canceled once Ameratec has placed it with the manufacturer, except on the terms the manufacturer allows, which are passed on to the customer. 12. Suitability and compliance The customer is responsible for confirming that the products it orders are suitable for its application and meet the codes and approvals required for its project and location. Ameratec supplies the manufacturer's published specifications and certificates on request. 13. Export Products of United States origin are subject to United States export regulations. The customer does not re-export them contrary to those regulations. 14. Portal accounts Portal access is given to named people at the customer's company. The customer is responsible for orders placed under its account by those people, and tells Ameratec promptly when a person leaves or access should be removed. The account owner can add and remove members in the portal. 15. Governing law These terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have jurisdiction. 16. Contact Ameratec Limited · sales@ameratec.net
